1. Introduction

Welcome to Roam Health ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, mobile application, and related services (the "Platform") that connect medically qualified doctors ("Doctors") with career opportunities outside the NHS.

Doctors may use the Platform free of charge. These Terms primarily apply to organisations and companies ("Employers") that use the Platform to identify, engage, and hire Doctors.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Definitions

Doctor: Any medically qualified doctor, whether or not registered with the GMC or other regulatory body.

Employer: An organisation using the Platform to identify or hire Doctors.

Match: A successful connection between a Doctor and an Employer through the Platform, resulting in paid engagement or employment.

Permanent/Fixed-Term Hire: Any employment relationship (full-time or part-time, permanent or fixed-term contract) established through the Platform.

Ad Hoc/Project Work: Short-term, consultancy, advisory, or project-based engagements facilitated through the Platform where Roam Health acts as contracting entity.

3. Employer Use of Services

Employers may post roles, submit talent requests, message Doctors, and review candidate recommendations free of charge.

By using the Platform, Employers agree to:

  • Pay all applicable fees upon a successful Match (see Section 6).
  • Notify Roam Health immediately upon entering into any arrangement with a Doctor sourced via the Platform.
  • Not circumvent Roam Health by engaging a Doctor outside the Platform in order to avoid fees. Such arrangements will still be deemed Matches and subject to full fees.
  • Provide accurate role descriptions, compensation details, and other relevant information.
  • Comply with all applicable UK employment laws and regulations.

4. Doctor Use of Services

Doctors agree to:

  • Act in good professional standing.
  • Provide accurate information about qualifications, registrations, and experience.
  • Communicate professionally with Employers.

Roam Health and Employers reserve the right to check or verify professional registrations (e.g., GMC) where applicable.

Doctors are not charged fees for use of the Platform.

5. Accounts and Registration

All users must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

6. Fees and Payment

6.1 Permanent & Fixed-Term Roles

  • Flat Fee: £10,000 per successful hire.
  • Applies to full-time and part-time positions, regardless of salary.
  • Payment due within 7 days of invoice.

6.2 Ad Hoc & Project Work

  • Employers set the daily/hourly rate within our published guidelines.
  • Roam Health contracts with the Doctor, processes payment, and remits 67% to the Doctor.
  • Employers are invoiced after work is completed.
  • If an Employer hires the Doctor in a permanent/fixed-term capacity within 12 months of any engagement via the Platform, a £10,000 conversion fee applies.

6.3 General Terms

  • All fees are exclusive of VAT. Currently, VAT is not charged; however, this may change as the business grows and VAT registration is required.
  • Payment is due within 7 days of invoice unless otherwise agreed in writing.
  • Late Payment Penalties:
    • Interest at 8% above the Bank of England base rate (per the Late Payment of Commercial Debts (Interest) Act 1998).
    • An administration fee of £100 per week (or part thereof) for each invoice outstanding beyond the due date, in addition to statutory late payment charges.
  • Failure to notify Roam Health of a Match or to pay applicable fees will entitle Roam Health to recover unpaid fees plus all enforcement and recovery costs.
  • Monitoring and Circumvention: Roam Health reserves the right to follow up with both Employers and Doctors to confirm whether a Match has resulted in employment or engagement. This may include contacting individuals directly (via email, phone, LinkedIn, or other professional channels) and reviewing publicly available information (such as company websites, press releases, or professional profiles). We may also use incentives to encourage Doctors to notify us when they secure opportunities through Roam Health. Circumventing the Platform or failing to disclose a hire will not release Employers from their obligation to pay applicable fees.

7. Intellectual Property

All content, features, and functionality of the Platform (including software, text, graphics, and design) are owned by Roam Health. Employers and Doctors may not reproduce, distribute, or exploit the Platform except as permitted under these Terms.

8. Privacy and Data Protection

Our handling of personal data is governed by our Privacy Policy, which applies to both Doctors and Employers. We process personal information in accordance with UK GDPR and the Data Protection Act 2018.

9. Service Availability

We aim to provide continuous access to the Platform but cannot guarantee uninterrupted service. We may modify, suspend, or discontinue parts of the Platform at any time.

10. Disclaimers and Limitation of Liability

No Guarantee of Hire: We facilitate introductions but do not guarantee employment outcomes.

No Vetting or Background Checks: Roam Health does not verify Doctors' qualifications, registrations, or backgrounds. Employers are solely responsible for conducting interviews, reference checks, background checks, and ensuring suitability. We can guide or facilitate where requested, but responsibility lies entirely with the Employer.

No Refunds: Fees are non-refundable once a Doctor has been hired or engaged. Our role is facilitation only.

Service Provided "As Is": The Platform is provided without warranties of any kind.

Limitation of Liability: Our liability is limited to fees paid by you in the 12 months preceding a claim, except where prohibited by law.

11. Termination

We may suspend or terminate your account if you:

  • Breach these Terms, including failure to pay fees.
  • Provide false or misleading information.
  • Engage in fraudulent, unlawful, or discriminatory activity.

You may close your account at any time. Outstanding obligations (including payment of fees) will survive termination.

12. Dispute Resolution

We encourage direct resolution of disputes. Failing that, disputes shall be resolved by binding arbitration under the London Court of International Arbitration (LCIA) rules.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted on our Platform. Continued use of the Platform constitutes acceptance of the latest Terms.
